access denied when uploading a file

please see log file below, cant work out why a file wont upload and overwrite....

The file is probably in use. It cannot be overwritten as long as its in use. Stop the web server. Replace the file. Restart the web server.

hi, neither the source or destination files are in use and both pc's have been restarted....
